These license terms are an agreement between the owner Company and you of the licensed site. Please read them carefully. They apply to the software product named above, which includes the media on which you received the electronic deliverables, if any. The terms also apply to any of the Company’s * updates, * supplements, * Internet-based services, and * support services for this software product, and by using this software, you accept these terms that govern the use of this software and agree to honour this agreement.

As described below, using some features also operates as your consent to the transmission of certain standard computer information for Internet-based services. If you comply with these license terms, you have the rights below.

1. INSTALLATION AND USE RIGHTS. You may execute only one copy of the software on recommended device (refer minimum hardware requirements) to establish a “server” and activate the site license using the DRM license for the said site. You may connect networked devices to this server and access the software content limited to the simultaneous use to the number of Client Access Licenses (CAL) activated on the server. Additional licenses may be purchased separately as required. The DRM validation services on the server shall need internet connectivity for activation.

2. INTERNET-BASED SERVICES. The Company may provide Internet-based services with the software. It may change or cancel them at any time. Consent for Internet-Based Services. The software feature described below connects to the Company or service provider computer systems over the Internet. In some cases, you will not receive a separate notice when they connect. By using this feature, you consent to the transmission of this information.

Computer Information. The following feature uses Internet protocols, which send to the appropriate systems computer information, such as your Internet protocol address, the type of operating system, browser and name and version of the software you are using, the language code of the device where you installed the software and the company License activation request codes. 3. SCOPE OF LICENSE. The software product is licensed for use, and not sold. The license is non-exclusive and non-transferable. This agreement only gives you some rights to use the software only for the purpose of Language instruction delivery and proficiency practice in the licensed site premise. The owner company reserves all other rights. You may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways. You shall not

• • work around any technical limitations in the software;
  • reverse engineer, decompile or disassemble the software, despite this limitation;
  • make copies of the software or its documentation, in part or whole, than specified in this agreement;
  • publish the software for others to copy;
  • rent, lease or lend the software;
  • transfer the software or this agreement to any third party; or
  • use the software for commercial software hosting services.

4. Ownership and Copyright: the company owns the IPR of the Software, the documentation, its structure, organisation, content and code and these are valuable trade secrets to the Company. The Software is protected by the Copyright laws of India and other applicable laws. You shall use the trademarks of the Company only to the extent as may be permitted by the Company who is the rightful owner of the trademarks. The Company permits you to use the Trademarks only to identify printed output produced by the Software. Such uses of any Trademark(s) do not give you any right of ownership of that Trademark. Except as stated above, this Agreement does not grant you any intellectual property rights in the Software, its content and documentation.

5. BACKUP. You may make one backup copy of the software. You may use it only to reinstall the software in case of failure of your devise or its components. The activation of such reinstalled software automatically terminates the earlier licensed device. The License ID shall be mentioned for activation. Backup of data is permitted through the software and shall be your responsibility to maintain such backups periodically.

6. DOCUMENTATION. Any person that has valid access to this server may use the documentation for your internal, online reference purposes only.

7. SUPPORT SERVICES. This software is provided “as is” with its contained resource and functionality for the specified platform only. Check for update is permitted in the software and you may choose to update from the company host.

Support, maintenance and upgrade “annual contract”: The Company provides a free annual contract for the first year only for support, maintenance and upgrade. Thereafter you may renew the annual contract separately for each of the subsequent years. The contract shall provide ongoing support through phone, mail, chat and other remote means and in difficult cases may be attended to by a personal visit by a support staff.

8. ENTIRE AGREEMENT. This agreement, and the terms for supplements, updates, Internet-based services and support services that you use, are the entire agreement for the software and support services.

9. APPLICABLE LAW. Republic of India. The courts of Ahmedabad shall govern the interpretation of this agreement in the English language and applies to claims for breach of it, regardless of conflict of laws principles.

10. LEGAL EFFECT. This agreement describes certain legal rights. You may have rights with respect to the party from whom you acquired the software. This agreement does not change your rights under the law.

11. Disclaimer: The Company warranties set forth in this agreement are exclusive and are in lieu of all other warranties, express or implied, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

12. Limitation of Liability & Indemnity: The Company shall not be responsible for, and shall not pay, any amount of incidental, consequential or other indirect damages, whether based on lost revenue or otherwise, regardless of whether Company was advised of the possibility of such losses in advance. You indemnify Company against any and all claims, losses, liabilities, damages, costs and expenses, including attorney's fees, which Company may incur as a result of or in connection with your breach of this Agreement.
